One example of a legal product from a Notary is the deed of establishment of a Limited Liability Company. A Limited Liability Company as a legal entity, of course, has the Company's organs consisting of the General Meeting of Shareholders (GMS), the Board of Directors, and the Commissioners. The Board of Directors in carrying out their roles is certainly limited by the term of office stipulated in the Company's articles of association. However, in practice, there is negligence of the company in ratifying or extending the term of office of the Board of Directors. This has an impact on the Board of Directors whose term of office has expired and is still carrying out their duties and authority in representing the company either in carrying out agreements, engagements or other legal actions related to the company with third parties. This study aimed to review and analyze the legality and responsibility of legal acts carried out by the Board of Directors of Limited Liability Companies after the expiration of the term of office, as well as to analyze, understand, and find the responsibility and legal protection for Notaries who make agreements between the Directors whose term of office has expired and the third parties. This study used normative legal research. The results of the data analysis on the problems show that the Board of Directors whose term of office expired but continued to carry out legal acts with the third parties, then their actions are invalid and the Board of Directors must be personally responsible if it causes the Company to go bankrupt. Meanwhile, if the action of the Board of Directors provides benefits for the Company, it is necessary to ratify it through the GMS. The notary who in this case has made an agreement between the Board of Directors whose term of office already expired and the third party must also be responsible for not implementing the principle of prudence.
